Terms & Conditions
These terms govern the use of app-man.co.uk and any design or development work carried out by App Man. App Man is a trading name of Rockul AI Ltd.
1. Who we are and these terms
App Man is a trading name of Rockul AI Ltd, registered in England and Wales (company number 17329373), registered office 66 Paul Street, London EC2A 4NA ("App Man", "we", "us", "our"). "You" means the person or business engaging us or using this site.
By using this website or engaging us for work, you agree to these terms. Where we issue a written quote or proposal, that document and these terms together form the agreement between us. If they conflict, the quote takes precedence.
2. Our services
We design and build mobile apps for iOS and Android, websites and web applications, games, bespoke software, AI systems, and graphic design and branding. What is included in any given project is defined in the quote we agree with you, not by this website.
Descriptions and examples on this site are illustrative. They are not an offer, a guarantee of a particular outcome, or a commitment to any specific feature, platform or timescale.
3. Quotes and scope
We provide a written quote before any work starts. The quote sets out the scope, the price and the expected timeline. A quote is valid for 30 days unless it says otherwise, and becomes binding once you accept it in writing and we confirm.
Anything not written in the quote is outside the scope of that project.
4. Changes to scope
If you ask for work beyond the agreed scope, we will tell you before proceeding and give you a revised price and timeline. Additional work is only carried out once you approve it in writing. We will never add charges without your agreement.
5. Payment
- Prices are quoted in pounds sterling and are exclusive of VAT unless stated otherwise. We can invoice and take payment in any major currency — tell us which you would prefer and we will quote in it.
- Payment in full is required before work begins. This is our standard requirement on all projects.
- Where a client asks, we may at our sole discretion agree a split of 50% before work begins and 50% on completion, with the balance payable before final delivery, handover or go-live. This is considered case by case, is not offered as standard, and applies only where it is written into your quote.
- Work does not begin until payment has cleared. Where a split has been agreed, final files, source code, accounts and live deployment are released once the balance is paid in full.
- How to pay — we accept credit and debit cards via Stripe, bank transfer and PayPal. Card payments are handled by Stripe, a PCI-DSS compliant payment processor; we never see or store your full card details. Your chosen payment method and currency are confirmed on your invoice.
- Invoices are due within 14 days of the invoice date.
- We may suspend work on overdue accounts, and may charge statutory interest and recovery costs on late payments under the Late Payment of Commercial Debts (Interest) Act 1998.
6. Your responsibilities
- Provide content, branding assets, access credentials and feedback promptly, and in a usable format.
- Make sure you own, or are licensed to use, everything you give us — text, images, logos, fonts, data and code.
- Review and approve work at the agreed checkpoints. Delays in approval move the timeline accordingly.
- Hold the accounts your project depends on, for example app store developer accounts, domains, hosting or AI provider accounts, in your own name.
7. Timelines
Timelines in a quote are estimates made in good faith. They assume you supply materials and approvals when needed. We are not liable for delays caused by late content, late approvals, third-party services, app store review, or anything outside our reasonable control.
8. Third-party services and costs
Projects often rely on third-party services such as hosting, domains, app store accounts, payment processors, APIs and AI providers. Their fees are your responsibility and are not included in our price unless the quote says so. We are not responsible for those services' availability, pricing changes, or terms.
9. Intellectual property
You keep ownership of everything you supply to us. On full payment, ownership of the final deliverables created specifically for you transfers to you.
We keep ownership of our pre-existing tools, libraries, frameworks and general know-how, including anything we reuse across projects. Where those are embedded in your deliverables, you get a perpetual, worldwide, non-exclusive licence to use them as part of the work.
Third-party components, including open-source libraries, stock assets and licensed fonts, remain governed by their own licences.
Unless you ask us not to, we may show the finished work in our portfolio and marketing.
10. Confidentiality
Each of us will keep the other's confidential information private and use it only for the project. This does not apply to information that is already public, that we already held, or that we are required to disclose by law.
11. Free marketing guidance
We offer free digital marketing guidance to every customer. It is general advice given in good faith, not a paid marketing service, and not professional, financial or legal advice. We give no guarantee of rankings, traffic, downloads, sales or any other result, and we accept no liability for decisions taken on the back of it.
12. Warranties and defects
We will carry out the work with reasonable care and skill, in line with the agreed specification.
For 30 days after delivery we will fix, at no charge, any defect where the work does not do what the agreed specification says it should. This does not cover new features, changes of mind, problems caused by changes made by you or a third party, or faults in third-party services.
Software is not warranted to be error-free or uninterrupted.
13. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law.
Subject to that, our total liability arising out of or in connection with a project is limited to the total fees you have paid us for that project.
We are not liable for loss of profit, loss of business, loss of revenue, loss of anticipated savings, loss or corruption of data, or any indirect or consequential loss.
14. Cancellation
You may cancel a project at any time in writing. You remain liable for all work completed up to the cancellation date, and sums covering that work are non-refundable. Where you have paid in full and we have not yet started, we will refund you less any costs already incurred on your behalf. We may end an engagement if invoices are significantly overdue, if you ask us to do something unlawful, or if you are in serious breach of these terms.
Where you are a consumer rather than a business, your statutory cancellation rights are unaffected.
15. International clients
We work with clients worldwide. Wherever you are:
- Currency and tax — we invoice in pounds sterling by default but can bill in any major currency on request, payable by Stripe card payment, bank transfer or PayPal. Where we invoice in a currency other than sterling, the exchange rate is fixed at the date of the invoice. Any import duties, withholding taxes, sales tax, VAT or GST arising in your own country are your responsibility, and our fees are payable in full without deduction.
- Bank charges — international transfer and currency conversion fees are yours.
- Local compliance — you are responsible for making sure the finished work complies with the laws that apply to your business and market, including licensing, advertising, accessibility, consumer and data protection rules. We will build to any requirements you give us in writing, but we do not provide legal advice and do not warrant compliance with the law of any particular country.
- Sanctions and export control — you confirm that you are not subject to UK, EU, US or UN sanctions, and that you will not use our work in breach of applicable export control or sanctions law. We may decline or stop work where doing so would breach those rules.
- App stores and platforms — where your project is distributed through Apple, Google, Microsoft, Sony or any other platform, their own terms and review processes apply and are outside our control.
16. Consumer rights
These terms are written for business customers. If you engage us as a consumer rather than a business, nothing in them removes or limits the rights you have under the mandatory consumer protection law of the country you live in, including any statutory right to cancel, to a refund, or to a remedy for services not carried out with reasonable care and skill. Where a mandatory local rule conflicts with these terms, that rule applies.
17. Acceptable use of this website
Do not use this site or the contact form to send unlawful, abusive or misleading material, to send bulk or automated messages, or to attempt to disrupt, probe or gain unauthorised access to the site. We may block access where this happens.
The content and design of this website, and the App Man name and logo, belong to Rockul AI Ltd and may not be copied or reused without permission.
18. Governing law
These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
This does not deprive you of the protection of any mandatory rule of the country in which you are habitually resident, and it does not prevent a consumer from bringing proceedings in their own country where local law gives them that right.
19. Changes to these terms
We may update these terms from time to time. The version in force for your project is the one published when your quote was accepted. The date at the top of this page shows the current version.
